Acceptance of Terms

By accessing or using INDĒ, you agree to these Terms of Service. If you do not agree, do not use the service.

Eligibility

You must be at least 18 years old and have legal capacity to enter into a binding agreement to create an INDĒ account or use account-based INDĒ services. You may not create or use an account on behalf of a person under 18. Additional artist, publishing, payment, and payout eligibility requirements apply where stated elsewhere in these Terms or the service.

Account And Authentication

You are responsible for maintaining control of your account credentials and for activity occurring under your account.

User Content License

You retain ownership of content you submit. You grant INDĒ a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit that content solely as needed to operate and improve the service.

Prohibited Content And Conduct

You may not upload or distribute unlawful, infringing, abusive, deceptive, or harmful content. Pornography and explicit sexual content are prohibited. Non-sexual artistic nudity may be allowed on a case-by-case basis at INDĒ's discretion. We may review, remove, limit, or restrict content or accounts when needed, and are not obligated to monitor all activity.

No Earnings Guarantee; Allocation Model Disclaimer

INDĒ does not guarantee any earnings, exposure, or allocation outcome. Allocation outcomes depend on user engagement and qualification rules. Nothing on INDĒ is investment advice or a securities offering. Allocation and platform rules may change over time.

Termination And Removal Rights

We may suspend or terminate access, or remove content, if we believe these Terms, applicable law, or platform safety requirements have been violated.

Dispute Resolution; Arbitration; Class Action Waiver (United States)

Before filing a formal claim, you agree to contact us and attempt informal resolution in good faith. Except for matters eligible for small claims court and requests for injunctive or equitable relief, disputes relating to these Terms or the service will be resolved by binding individual arbitration in the United States, rather than in court.

You and INDĒ waive any right to a jury trial and any right to participate in class actions, class arbitrations, representative actions, or consolidated proceedings. Arbitration will proceed on an individual basis only.

You may opt out of this arbitration and class action waiver section by sending written notice to support@inde.fm within 30 days after first accepting these Terms. Your notice must include your full name, account email, and a clear statement that you are opting out of arbitration.

Disclaimers And Limitation of Liability

The service is provided "as is" and "as available" to the maximum extent permitted by law. INDĒ disclaims warranties not expressly provided. To the maximum extent permitted by law, INDĒ is not liable for indirect, incidental, special, consequential, or punitive damages.

Indemnification

You agree to defend, indemnify, and hold harmless INDĒ and its affiliates from claims, liabilities, and expenses arising from your use of the service or your violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws principles.

Changes To Terms

We may revise these Terms from time to time. Continued use of the service after updates become effective constitutes acceptance of the revised Terms.
